INTRO

These Terms of Service govern your use of Fluxport's website, platform, and logistics services. By accessing our website or using our services, you agree to be bound by these terms. Please read them carefully before proceeding.

If you are using Fluxport's services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms.

1. About Fluxport

Fluxport is a global logistics services company registered in Portugal. Our registered address is Rua do Comércio 45, 1100-150 Lisbon, Portugal. References to "Fluxport," "we," "our," or "us" in these terms refer to Fluxport and its subsidiaries and affiliated entities involved in the delivery of services.

2. Services

Fluxport provides freight forwarding, air cargo, last-mile delivery, and related logistics services as described on our website and in individual service agreements. The specific scope, pricing, and terms of any logistics engagement are set out in the applicable quote, booking confirmation, or service agreement issued by Fluxport.

These Terms of Service apply to your general use of our website and platform. Where a separate service agreement exists, that agreement governs the logistics services and supplements these terms.

3. Account registration

To access certain features of the Fluxport platform, you must register for an account. You agree to:

  • Provide accurate and complete information during registration

  • Keep your account credentials confidential

  • Notify us immediately of any unauthorised access to your account

  • Take responsibility for all activity that occurs under your account

Fluxport reserves the right to suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk.

4. Use of the platform

You may use the Fluxport platform only for lawful purposes and in accordance with these terms. You agree not to:

  • Use the platform in any way that violates applicable law or regulation

  • Submit false, misleading, or fraudulent shipment information

  • Attempt to gain unauthorised access to any part of the platform or its underlying systems

  • Interfere with or disrupt the integrity or performance of the platform

  • Use automated tools to scrape, extract, or reproduce platform content without authorisation

  • Attempt to reverse engineer any part of the platform or its technology

5. Shipment terms and conditions

All shipments arranged through Fluxport are subject to the following conditions:

Accurate cargo declaration. You are responsible for providing accurate and complete information about the nature, weight, dimensions, and value of all cargo. Fluxport is not liable for loss, delay, or additional costs arising from inaccurate declarations.

Prohibited cargo. You may not ship cargo that is prohibited by law in the origin, transit, or destination country, or that violates any applicable international trade regulations. Fluxport reserves the right to refuse any shipment without liability.

Packaging. You are responsible for ensuring cargo is adequately packaged for the mode of transport. Fluxport is not liable for damage arising from inadequate packaging.

Customs and compliance. While Fluxport assists with customs documentation, you remain responsible for ensuring your cargo complies with all applicable import and export regulations. Any fines, duties, or penalties arising from non-compliance are your responsibility.

Cargo insurance. Fluxport's liability for loss or damage is limited as set out in clause 7 below. We strongly recommend arranging appropriate cargo insurance for all shipments.

6. Payment terms

Invoices are issued in accordance with the agreed payment terms set out in your service agreement or booking confirmation. Unless otherwise agreed:

  • Payment is due within 30 days of invoice date

  • Late payments may incur interest at the rate permitted by applicable law

  • Fluxport reserves the right to suspend services for accounts with outstanding unpaid invoices

  • All fees are exclusive of applicable taxes, which will be added where required by law

Disputed invoices must be raised in writing within 14 days of the invoice date. Undisputed portions of an invoice remain payable by the due date.

7. Liability

Limitation of liability. To the maximum extent permitted by applicable law, Fluxport's total liability to you for any claim arising out of or in connection with these terms or our services shall not exceed the fees paid by you for the specific shipment or service giving rise to the claim in the three months preceding the claim.

Exclusions. Fluxport is not liable for indirect, consequential, special, or punitive damages, including loss of profit, loss of revenue, or loss of business opportunity, whether or not we have been advised of the possibility of such damages.

Force majeure. Fluxport is not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, civil unrest, strikes, government action, port congestion, or extreme weather events. We will notify you promptly of any such circumstances and make reasonable efforts to minimise their impact.

Carrier liability. Where loss or damage occurs during transit with a third-party carrier, liability may be governed by the applicable carrier's terms and conditions and international conventions including the CMR Convention, Montreal Convention, or Hague-Visby Rules depending on the mode of transport.

8. Intellectual property

All content on the Fluxport website and platform, including text, graphics, logos, software, and data is the property of Fluxport or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any Fluxport content without prior written permission.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with these terms or the services, and not to disclose such information to third parties without prior written consent, except as required by law.

10. Data protection

The collection and use of personal data in connection with your use of Fluxport's website and services is governed by our Privacy Policy, which forms part of these terms by reference.

11. Third-party links and integrations

Our website and platform may contain links to third-party websites or support integrations with third-party tools. Fluxport is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk.

12. Termination

Either party may terminate a service relationship by providing written notice in accordance with the applicable service agreement. Fluxport may suspend or terminate your platform access immediately if you breach these terms, fail to make payment, or if we are required to do so by law. Termination does not affect any rights or obligations that have accrued prior to the termination date.
